In no event shall Digilligence Digital Solutions Pvt. Ltd. be liable to the Client or any third party for damages, including any lost profits, lost revenue, lost business, lost savings, or other incidental, special, or consequential losses brought on by the usage, or the inability to use, the presentation application.
In the event that payment becomes necessary, the client undertakes to cover all associated legal costs and third-party involvement costs, as well as a late payment fee and X% per month compound interest on the outstanding balance.
The real amount of all relevant taxes will be charged.
For the purposes of this paragraph, “Employee” shall relate to present employees or people who were employed before the project in question. For the duration of the performance of services by Digilligence Digital Solutions Pvt. Ltd. under this agreement and for twenty-four (24) months after, (i) Digilligence Digital Solutions Pvt. Ltd. aceepts not to induce or solicit any Employee of Client to part ways with the Client or to hire any Employee of Client without the prior written approval of Client, and (ii) Client agrees not to solicit or induce any Employee of Digilligence Digital Solutions Pvt..
Neither party may assign, delegate, or subcontract any of its rights or obligations under this Agreement or other Statement of Work without the other party’s prior written consent, with the exception that (i) Any party may transfer and assign this Agreement and any Statement of Work, as well as its obligations hereunder and thereunder, to any third party that succeeds to substantially all of its operations and resources, or delegate and transfer any rights to receive payment to other third party that succeeds to substantially all of its and (ii) Digilligence Digital Solutions Pvt. Ltd. may transfer its duties under this agreement to any of its wholly-owned subsidiaries or third-party service providers, provided that Digilligence Digital Solutions Pvt. Ltd. remains primarily liable to Client under this agreement, as well as the deeds and transgressions of any such parties employed or engaged by Digilligence Digital Solutions Pvt. Ltd. But the Client is not permitted to offer this Agreement to a company that competes directly with Digilligence Digital Solutions Pvt. Ltd.
The client guarantees to Digilligence Digital Solutions Pvt. Ltd. that all text, graphics, photos, designs, trademarks, source code, and other artwork provided by the client for inclusion in the web pages are the client’s, or that the client has permission from the owner to use each of these elements, and the client agrees to indemnify, hold harmless, preserve, and defend Digilligence Digital Solutions Pvt. Ltd. from any claim that any of these elements are not owned by the client or are not.
All files created, developed, or designed by Digilligence Digital Solutions Pvt. Ltd. while working on this project remain within the copyrights or ownership of Digilligence Digital Solutions Pvt. Ltd. The client will receive ownership of the source code and design after the last payment has been made on the project.
Regardless of the venue, this contract was made in Noida, India, and any legal action or arbitration will take place there as well.
The terms of this “Proposal” comprise the only contract between Client and its owners and Digilligence Digital Solutions Pvt. Ltd.
Any additional work that is not mentioned in the proposal will either need to be estimated separately or this proposal will need to be amended.
If a client chooses not to use content writing and graphic design services, they are responsible for providing all photos, text, and other materials. Client grants us the presumptive right to use photographs from the internet in the event that the client fails to supply the images. While Digilligence Digital Solutions Pvt. Ltd. will make every effort to use royalty-free photos, it is the client’s obligation to ensure that he has reviewed and approved the work delivered after delivery is complete. If he feels or discovers something that doesn’t belong to him, he will return to Digilligence Digital Solutions Pvt. Ltd. right away to get it corrected. After the work has been delivered, Digilligence Digital Solutions Pvt. Ltd. disclaims all obligation for any copy right infringement, trademark infringement, performance infringement, damages, or other legal liabilities that may result for any reason. The client should ideally only submit the photographs, text, and other information at the time of contract and make sure that the work is completed in accordance with his instructions.
If the client’s fees are subject to tax deductions at source, the client must present the TDS certificate to Digilligence Digital Solutions Pvt. Ltd. while making the required payment. The professional fees do not include taxes or any other applicable government levies. The Client is responsible for paying any such taxes and/or levies, whether they are retroactive or not.
The initial money will not be reimbursed if the client decides to abandon the project while the website is still being developed.
In case of any legal action, the sum paid will not be greater than what was billed to the client.
Services, Consulting, Training, and Content Marketing in SEO
It is the client’s responsibility to give us clear instructions, as well as any necessary flow diagrams or other specifics, during the project briefing. We shall proceed with our knowledge of your requirements and issue a quote if such information is not provided. If a mismatch occurs later, it can result in extra expenses to make the necessary adjustments. Therefore, it is imperative that you make sure that you have been quoted on the correct criteria and that you have made clear every part of your website development.
Any additions, modifications, or improvements to the project’s functionality or design will have an impact on the proposal once it has been finalized and may result in higher costs and changed delivery date. All extra work that goes beyond the estimates is billed separately. Digilligence Digital Solutions Pvt. Ltd. would never be held responsible for any delays brought on by changes to the project brief.
For costing purposes, any complexity relating to a single deliverable must be disclosed upfront and included in the proposal. We do our business in good faith and rely on our customers to be completely honest about their expectations. Digilligence Digital Solutions Pvt. Ltd. will not be responsible for any discrepancy brought on by unclear criteria or expectations.
The website content and all related documents must be supplied to us within the first two weeks of the project’s start in cases where the website was also constructed by Digilligence Digital Solutions Pvt. Ltd., even if the customer chooses not to use our content writing and graphic design services. Any extra delays could cause the project to be delayed and cost more money if they take longer than expected.
The client must be aware that occasionally unexpected events could cause the website development and SEO process to be delayed, especially when it comes to the integration of third-party software. We’ll do everything we can to finish the project as specified in the proposal. The client agrees not to hold us accountable for any legitimate delays as long as they occur within a reasonable time frame and every attempt has been made to keep the project on track.
A payment gateway, SSL certificate, or any other third-party software or component utilized in the building of a website is not under the control of Digilligence Digital Solutions Pvt. Ltd. To prevent any inconveniences, we advise you to make regular backups.
In coordination with other service providers, Digilligence Digital Solutions Pvt. Ltd. may offer packages. Changes to the regulations and policies of the third-party supplier may ultimately have an impact on the services we offer or the terms and conditions contained below.
Unless otherwise specified, the plan does not include domain registration fees.
Unless specified otherwise, hosting fees are not included in the quotes. If necessary, Digilligence Digital Solutions Pvt. Ltd. is able to arrange an appropriate hosting solution; a cost for this will be provided separately and approved by the client.
When clients choose to arrange their own hosting, we should be notified before choosing the hosting and database setup since they must adhere to the specifications of the technology being used for the development. Please be aware that in order to test and install the application, we will need complete access to hosting support. Digilligence Digital Solutions Pvt. Ltd. disclaims responsibility for any delays or problems brought on by the hosting provider’s direct or indirect acts.
Only by the prior written agreement will the Client retain ownership of the finished web designs, graphics, pages, code, and source files produced by the Developer and text produced by the content writer for the project. In the absence of a contract, ownership will continue to belong to Digilligence Digital Solutions Pvt. Ltd.
A Specialized Resource (s)
A dedicated resource or resources are assigned to the customer, together with any necessary functional support personnel, such as a Team Leader or Project Manager, upon request (based on the service commissioned).
In order to prevent delays, it is crucial that the developer or designer always has work to do (any delays may increase the time required to complete the project).

The resource(s) would be located at Digilligence Digital Solutions Pvt. Ltd.’s office in India. The hours of operation for the Indian office are 9:30 AM to 6:30 PM, Monday through Friday (India is in GMT + 5:30/BST +4.30). All public holidays are announced in advance and communicated by the development team; the holidays are typically made up by working additional hours in the evenings, on weekends, or in accordance with the time schedule set forth by the client.
A man-month is 160 hours of work in a calendar month. When working on a dedicated basis, a developer is given 40 hours per week, 160 hours per month, etc. This period of time comprises the time spent on design, coding, testing, and awaiting the client’s input, as desired by the developer or developers.
Both parties agree to only disclose “confidential information” to a minimal number of workers who have a “need to know” for it. They also agree to make sure that all of the aforementioned employees abide by the requirements regarding the use and disclosure of the information.
Any party may end the services, contract, or agreement by giving notice in writing. For large projects, the notice period is three months, while for small to medium sized projects, it is one month. The notice period is atleast of 1 week for clients with ongoing time and materials projects (weekly and monthly running projects with dedicated developers and designers). The authority to “define” the “kind” of a project belongs to Digilligence Digital Solutions Pvt. Ltd. Third-party services could take more time.
In order to make the “project” technically feasible and viable, it is the client’s responsibility to supply all necessary information, content, pictures, previous code, admin access, etc. during the “project.” Should the client not comply, or if any other pertinent materials are missing, the project will not be able to proceed. The use of freeware and shareware by Digilligence Digital Solutions Pvt. Ltd.
Digilligence Digital Solutions Pvt. Ltd. When the final payment is made and/or the website is made “live,” it is presumed that the client has agreed to use the aforementioned material at its own risk and responsibility. Digilligence Digital Solutions Pvt. Ltd. would assume that the client has taken care of the legal and copyright implications of using the same.Digilligence Digital Solutions Pvt. Ltd. will not be held responsible if the client insists on using a specific “copyrighted” material.
After receiving the full payment, the client will be the sole owner of the specific instances of all code (in the case of website development) that we create for them; however, they will not be the owner of the trade secrets, algorithms, techniques, or other methods that we employ to create it. These items will remain the property of Digilligence Digital Solutions Pvt. Ltd.
It may be essential to rearrange the team or resource to other projects while we wait if, during the course , the client is unable to supply us with the necessary information, documents, Please email us at any time if you have any questions.. During these waiting intervals, any time spent re-allocating resources off the project will be deducted from the scheduled project duration.
If you don’t supply us with the materials, information, choices, or approvals we need to finish the job within thirty days of our request, we’ll consider the job finished and consider any payments to be payable.
Existing sites (when developing a website) – Work is done on an anonymous basis on an existing site: We are unable to forecast code integrity due to the nature of current sites (sites that have previously been completed or partially completed by a third party). We start our work with the idea that we will study and improve the current code, but we give no assurances that it will be a good foundation for our work.
If the task is halted before completion, payments for time performed are not refundable.
Terms and Conditions for the SEO Package
Every SEO package is for a minimum of three months.
Monthly SEO packages are billed on the first day of each month, and the charge is due on the fifth day or within five days of generating the invoice.
Packages will vary depending on the industry, competition, product, or services for smaller and larger initiatives.
Digilligence Digital Solutions Pvt. Ltd. follows a fair use policy, which means that even though we don’t formally accumulate unused man-hours or transfer any unused time over to the following month, we do recognize that your needs may change from month to month and occasionally provide flexibility in good faith.
If the client accepts the services, any further requirements will be charged separately.

Any urgent tasks will incur separate charges.
Every month, the package is automatically renewed, and an invoice is generated.
The package might be terminated after the first missing payment, and the client would then be required to pay the entire balance of the package right away.
All fees associated with the monthly maintenance package are non-refundable.
Please send us written notice at least one month before the renewal date if the client needs to cancel the package.
Continuous term: If the client wishes to end a subscription for whatever reason, they will be responsible for paying the balance for the remaining months.
The right to terminate SEO Services at any time with written notice to the Client is reserved by Digilligence Digital Solutions Pvt. Ltd.
